ประธานในที่ประชุมได้แถลงต่อที่ประชุมว่า บริษัทมีความประสงค์จะทำสัญญาไถ่ถอนจำนองและขายที่ดิน จำนวน 2 แปลง ได้แก่ ที่ดินตามโฉนดเลขที่ 21610 เลขที่ดิน 40 หน้าสำรวจ 6758 และ โฉนดเลขที่ 21620 เลขที่ดิน 43 หน้าสำรวจ 6768 ตำบลบางม่วง อำเภอตะกั่วป่า จังหวัดพังงา โดยอ้างถึงหนังสือสัญญจำนองที่ดิน ฉบับลงวันที่ 29 กรกฎาคม 2557 ซึ่งบริษัทฯได้ทำสัญญาจำนองไว้กับนางสาวเพ็ญพรรณี หอรุ่งเรือง ในวงเงินจำนวน 3,900,000 บาท (สามล้านเก้าแสนบาทถ้วน) และจะขายที่ดิน 2 แปลงนี้ที่กล่าวข้างต้นให้แก่ ....... ในวงเงินจำนวน 4,500,000 บาท (สี่ล้านห้าแสนบาทถ้วน จึงขอให้ที่ประชุมพิจารณา
ทั้งนี้ ในวันจดทะเบียนไถ่ถอนจำนองและขายที่ดินตามที่กล่าวข้างต้นของบริษัทฯ นั้นเนื่องจากกรรมการของบริษัทไม่สามารถไปดำเนินการด้วยตนเอง ที่ประชุมจึงเสนอให้กรรมการของบริษัทฯ มอบอำนาจให้นายเอกฤทธิ์ จันทร์เรือง เป็นตัวแทนไปดำเนินการเรื่องการจดทะเบียนดังกล่าวข้างต้นแทนบริษัทฯ จนเสร็จการ
มติที่ประชุม ที่ประชุมได้พิจารณาโดยละเอียดแล้ว จึงมีมติเป็นเอกฉันท์ ให้บริษัทฯ ไถ่ถอนจำนองและขายที่ดินดังกล่าวข้างต้น ตามที่ประธานฯ เสนอต่อที่ประชุมทุกประการ
