ประกาศกรมพัฒนาธุรกิจการค้า
เรื่องหลักเกณฑ์และวิธียื่นงบการเงิน
เพื่อให้หลักเกณฑ์และวิธีการในการยื่นงบการเงินให้ทันสมัยเหมาะสมกับสภาวะการณ์ โดยคำนึงถึงความสะดวกรวดเร็ว รวมทั้งเพื่อให้ภาครัฐมีข้อมูลที่จำเป็นต่อการวิเคราะห์สภาพเศรษฐกิจของประเทศอย่างครบถ้วน
อาศัยอำนาจตามความในมาตรา 11 วรรค1และวรรค2 แห่งพระราชบัญญัติการบัญชี พ.ศ.2543 อธิบดีกรมพัฒนาธุรกิจการค้า จึงออกประกาศไว้ดังต่อไปนี้
1. ประกาศนี้เรียกว่า ประกาศกรมพัฒนาธุรกิจการค้า เรื่องหลักเกณ์และวิธีการยื่นงบการเงิน 2558
2. ประกาศนี้ให้บังคับใช้ตั้งแต่บัดนี้เป็นต้นไป
3. ให้ยกเลิกประกาศกรมพัฒนาธุรกิจการค้า ดังนี้
1. เรื่อง หลักเกณฑ์และวิธีการยื่นงบการเงินที่เกี่ยวข้องกับการลงทุนระหว่างประเทศ ลงวันที่ 2 กุมภาพันธ์ 2550
2. เรื่อง หลักเกณฑ์และวิธียื่นงบการเงินผ่านอิเล็กทรอนิคส์ ลงวันที่ 30 เมษายน 2557 และ ฉบับลงวันที่ 10 เมษายน 2558
3. เรื่อง หลักเกณฑ์และวิธียื่นงบการเงิน พ.ศ.2558 ลงวันที 10 เมษายน 2558
ผู้มีหน้าที่จัดทำบัญชีดังต่อไปนี้ให้ยื่นแบบนำส่งงบการเงินที่เกี่ยวข้องกับการลงทุนระหว่างประเทศ (แบบ สบช.3/1) ตามที่ธนาคารแห่งประเทศไทยกำหนดอีก 1 ชุด
ในการยื่นงบการเงินผ่านทางอิเล็คทรอนิคส์ (E-filing).ให้ผู้มีหน้าที่จัดทำบัญชีใช้ user name และ password ที่ได้รับจากกรมพัฒนาธุรกิจการค้าแทนการลงลายมือชื่อในงบการเงิน สำเนารายงานประจำปี งบดุลและบัญชีกำไรขาดทุน สำเนารายงานรายชื่อผู้ถือหุ้น แบบ สบช.3 และ สบช.3/1
การขอ user name และ password ให้ยื่นขอต่อกองข้อมูลธุรกิจ สำนักงานพัฒนาธุรกิจการค้า เขต1 ถึง 6 พร้อมแนบหลักฐานต่อไปนี้
1. หนังสือแสดงความตกลงในการยื่นงบการเงินผ่านอิเล็คทรอนิคส์หรือมติกรรมการอย่างใดอย่างหนึ่ง
2. สำเนาบัตรประชาชนของกรรมการผู้มีอำนาจ พร้อมรับรองสำเนาถูกต้อง
3. กรณีมอบอำนาจ ให้แสดงบัตรประชาชนของผู้รับมอบอำนาจและแนบสำเนาบัตรประชาชนของผู้รับมอบอำนาจ พร้อมรับรองสำเนาถูกต้อง
4. หนังสือมอบอำนาจ

ให้ผู้มีหน้าที่ยื่นงบการเงิน ยื่นงบการเงิน รายงานการสอบบัญชี รายงานประจำปี สำเนารายงานการประชุมผู้ถือหุ้น ทางอิเล็คทรอนิคส์ภายในระยะเวลาที่กำหนด กรณีผู้จัดทำบัญชีที่ยังไม่พร้อมยื่นงบการเงินผ่านทางอิเล็คทรอนิคส์ ให้ยื่นด้วยตนเอง หรือนำส่งทางไปรษณีย์ภายในระยะเวลาที่กำหนด และจะต้องทำการยื่นงบการเงินผ่านทางอิเล็คทรอนิคส์อีกครั้งภายใน 30 วันนับจากวันครบกำหนดตามระยะเวลาตามกฎหมาย จึงจะถือว่า การยื่นงบการเงินภายในระยะเวลาที่กำหนด
