บริษัทฯ จะออกหุ้นสามัญเพิ่มทุนเป็นจำนวนไม่เกิน 840,000,000 หุ้น มีมูลค่าที่ตราไว้หุ้นละ 1 บาท ให้แก่ บุคคลในวงจำกัด (Private Placement) โดยจัดสรรให้แก่ผู้ถือหุ้นในเนอวานาจำนวนไม่เกิน 840,000,000 หุ้น ในราคาหุ้นละ 5.00 บาท คิดเป็นมูลค่ารวมทั้งสิ้น 4,200,000,000 บาท เพื่อใช้ชำระเป็นค่าตอบแทนการโอนกิจการทั้งหมดของเนอวานาให้แก่บริษัทฯ ทั้งนี้ บริษัทฯ และ สิงห์ เอสเตท อาจร่วมกันพิจารณาปรับปรุงราคาซื้อขายได้ หากปรากฏข้อมูลใดๆ จากการทำการตรวจสอบสถานะ (Due Diligence) ซึ่งส่งผลอย่างมีนัยสำคัญต่อราคาซื้อขาย
