สมาคมส่งเสริมสถาบันกรรมการบริษัทไทย( IOD) เป็นองค์กรที่มีบทบาทสำคัญในการพัฒนาความเป็นมืออาชีพของกรรมการ และส่งเสริมให้เกิดการกำกับดูแลกิจการที่ดีในประเทศไทย IOD ก่อตั้งขึ้นเมื่อปี พ.ศ.2542 เป็นเวลา 2 ปีหลังจากวิกฤตเศรษฐกิจในเอเซียเมื่อปีพ.ศ. 2540 นับตั้งแต่ก่อตั้ง IOD ได้เป็นหัวหอกสำคัญในการส่งเสริมการกำกับดูแลกิจการที่ดีในบริษัทไทย กิจกรรมต่างๆ ที่ IOD จัดขึ้น ได้มีส่วนช่วยยกระดับมาตรฐานการเป็นกรรมการ รวมทั้งก่อให้เกิดแนวปฏิบัติที่ดีสำหรับกรรมการในการปฏิบัติหน้าที่อย่างมีประสิทธิภาพทัดเทียมกับมาตรฐานสากล ซึ่ง IOD เชื่อว่าด้วยการมีกรรมการที่สามารถปฏิบัติหน้าที่ได้อย่างมีประสิทธิผล จะทำให้บริษัทได้รับการดูแลให้มีการจัดการและดำเนินงานอย่างมีประสิทธิผล สามารถสร้างผลประโยชน์ให้กับผู้ถือหุ้น และทำให้เศรษฐกิจไทยเจริญเติบโตอย่างมั่นคงถาวร
สมาคมส่งเสริมสถาบันกรรมการบริษัทไทยเป็นองค์กรไม่แสวงหากำไร ก่อตั้งขึ้นโดยการสนับสนุนของหน่วยงานหลักที่เกี่ยวข้องกับตลาดทุน ได้แก่ สำนักงานคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์ (ก.ล.ต.) ตลาดหลักทรัพย์แห่งประเทศไทย ธนาคารแห่งประเทศไทย มูลนิธิกองทุนพัฒนาระบบตลาดทุน รวมทั้งองค์การระหว่างประเทศคือธนาคารโลก (World Bank) ปัจจุบัน IOD ได้รับการยอมรับทั้งในประเทศและต่างประเทศในฐานะองค์กรที่มีบทบาทสำคัญในการพัฒนาการกำกับดูแลกิจการที่ดี และได้รับการยกย่องให้เป็นตัวอย่างหนึ่งขององค์กรวิชาชีพที่ประสบความสำเร็จทั้งในเวทีระดับประเทศและระดับนานาชาติ
